Capital Increase of BUWOG AG: bpv Hügel advised Underwriters

Share issuance of BUWOG AG with the total gross proceeds of approx. EUR 305.6 million. bpv Hügel acted as Austrian counsel for Deutsche Bank Aktiengesellschaft, Goldman Sachs International as Global Coordinators andJoh. Berenberg, Gossler & Co. KG, Erste Group Bank AG, Kempen & Co N.V. and Société Générale Corporate & Investment Banking as Joint Bookrunners.

Vienna/Mödling, 12 June 2017. BUWOG AG, one of the leading residential real estate asset management and property development companies in Germany and Austria, successfully completed its capital increase by issuance of shares. With total gross proceeds of the capital increase of approx. EUR 305.6 million the highest profile ECM transaction in the Austrian market this year so far.

bpv Hügel acted as Austrian counsel to the underwriters on this transaction, which include Deutsche Bank Aktiengesellschaft, Goldman Sachs International as Global Coordinators and Joh. Berenberg, Gossler & Co. KG, Erste Group Bank AG, Kempen & Co N.V. and Société Générale Corporate & Investment Banking as Joint Bookrunners.

The new shares were offered to existing shareholders in the rights offering and shares not subscribed to institutional investors in private placements. The offer price for the new shares was determined on the basis of a book-building procedure at the end of the subscription and placement period. The shares of BUWOG AG are listed on the Frankfurt, Vienna (ATX) and Warsaw stock exchange.

BUWOG intends to use the net proceeds from the issuance of the new BUWOG shares for purposes of financing further growth, particularly through acquisitions of land plots in Berlin, Hamburg and Vienna for both, the Company’s development-to-hold as well as its development-to-sell strategies as well as for acquisitions and general business purposes.
